These Terms of Service ("Terms") govern your access to and use of Vyiora's sales analytics platform, including our website, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Vyiora is operated by Vyiora Corporation, a company registered in Delaware, United States. References to "Vyiora," "we," "us," or "our" refer to this entity.

1. Description of Service

Vyiora provides a sales analytics platform designed for sales professionals and teams. Our Service enables users to:

• Track sales activity including calls, appointments, and outreach efforts
• Monitor revenue, cash collected, and commission earnings
• Analyze conversion rates, funnel performance, and sales metrics
• Manage payment collections and track outstanding balances
• Access AI-powered insights and performance coaching
• Collaborate with team members within an organization (where applicable)

2. Account Registration

To use certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account

You must be at least 18 years old to create an account and use the Service.

3. Subscription Plans and Payment

Vyiora products various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to:

• Pay all applicable fees as described at the time of purchase
• Authorize us to charge your payment method on a recurring basis
• Subscriptions automatically renew unless cancelled before the renewal date

Refunds are handled in accordance with our refund policy. Contact billing@vyiora.com for refund requests or billing inquiries.

We reserve the right to modify pricing with reasonable notice. Price changes will not affect your current billing period.

4. User Data and Content

You retain ownership of all data you submit to the Service ("User Data"), including sales activity logs, deal information, and performance metrics.

By using the Service, you grant Vyiora a limited license to process, store, and display your User Data solely for the purpose of providing and improving the Service.

Data Accuracy: You are responsible for the accuracy of data you enter. Vyiora calculates metrics, analytics, and insights based on the information you provide. We do not verify the accuracy of sales figures, commission rates, or other financial data you input.

Data Export: You may request a copy of your data at any time by contacting support. We recommend doing so before deleting your account, as deletion is permanent and irreversible.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Share account credentials or allow others to access your account
• Use automated systems to access the Service without our permission

6. Organizations and Teams

If you use Vyiora as part of an organization, additional terms apply:

• Organization Owners have administrative control over the organization's settings, member access, and billing
• Organization Admins may view team member performance data as configured within the platform
• Data shared within an organization is subject to that organization's internal policies and the access controls set by administrators

7. AI-Powered Features

Vyiora products AI-powered insights, coaching, and analytics features. By using these features, you acknowledge and agree that:

• AI-generated insights are based on your historical data and general patterns
• Recommendations are suggestions only and should not replace professional judgment
• We do not guarantee specific outcomes from following AI recommendations
• Your data is processed by third-party AI providers who do not retain it after processing and do not use it for model training
• AI coach conversations are stored to provide continuity and are permanently deleted when you delete your account

8. Intellectual Property

The Service, including its design, features, functionality, and content (excluding User Data), is owned by Vyiora and protected by intellectual property laws.

"Vyiora" and associated logos are trademarks of Vyiora Corporation. You may not use our trademarks without prior written permission.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Vyiora does not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Analytics, metrics, or insights will be completely accurate

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VYIORA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Termination and Account Deletion

You may terminate your account at any time through your account settings or by contacting support.

We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we determine is harmful to other users or the Service.

11.1 Account Deletion

You may permanently delete your account from your account settings. Account deletion is immediate and irreversible. Upon deletion, all of the following are permanently removed:

• Your profile, account credentials, and authentication data
• All sales activity data, call logs, and event history
• Sales products and associated configuration
• AI coach conversations and coaching memory notes
• Organization memberships (organizations themselves are not affected)
• Stripe billing records and active subscriptions

We recommend that you request a copy of your data before deleting your account. This action cannot be undone.

11.2 Subscription Cancellation

If your subscription is cancelled, your data remains accessible for as long as your account exists. You may resubscribe at any time. To permanently remove your data, use the account deletion feature in your settings.

11.3 Inactive Accounts

Accounts with no login activity for 12 consecutive months may be flagged for deletion. We will send a notice to your registered email at least 30 days before any deletion occurs, giving you the opportunity to log in and preserve your account.

11.4 Effect of Termination

Upon termination by either party, your right to use the Service ceases immediately. Sections 4, 8, 9, 10, and 13 survive termination.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware, United States.
